Norscot changes hands after nearly 40 years

Scotland Construction & Maintenance

Background

Norscot Joinery Ltd, a well-established family business in the Scottish Highlands, was founded in 1984 by the Body family. Over nearly four decades, the company built a strong reputation for manufacturing energy-efficient timber frame house kits, windows, and doors. As one of the largest employers in Caithness, they had a skilled workforce of over 60 employees and a strong regional presence.

The owners were looking to sell the business to facilitate a smooth succession while ensuring continuity for employees and customers. It was critical to find a buyer who could maintain Norscot’s legacy while also supporting future growth opportunities.  Business Partnership was engaged to manage the sale, identifying a strategic buyer who could meet these objectives.

Approach

Simon Fraser worked closely with Norscot’s leadership to prepare the business for sale, ensuring it was positioned attractively for potential buyers. This involved:

  • Identifying and approaching strategic buyers with industry expertise.
  • Structuring the sale to ensure continuity for employees and customers.
  • Managing negotiations to secure a deal that aligned with the sellers’ priorities.

Given Norscot’s strong brand and operational complexity, it was essential to find a buyer with the right industry experience and vision. Business Partnership focused on highlighting the business’s track record, customer base, and potential for growth.

Solution

After a targeted search, 1st FSD Group, a company with expertise in the property and home improvement sectors came to the fore. They recognised Norscot’s value and were committed to maintaining its operations, workforce, and strong local presence.

The deal was structured to provide continuity, ensuring that:

  • The existing management team remained in place to oversee day-to-day operations.
  • Employees retained their positions, maintaining stability for the business.
  • Norscot’s well-regarded product range and customer service remained unchanged.

The transaction was successfully completed, allowing the founders to step back while securing the future of the business under experienced new ownership.

Results

Since the sale, Norscot has continued to operate under the leadership of its existing management team, providing uninterrupted service to customers. Under 1st FSD Group’s ownership, the company is well-positioned for growth, with new opportunities for expansion while maintaining its commitment to quality and local employment.
